Terms of Service & Master Platform Agreement
MathTree is a financial modeling and real estate technology software platform. MathTree is not a registered broker-dealer, investment advisor, tax advisor, or securities custodian under the Securities Exchange Act of 1934 or the Investment Advisers Act of 1940. All internal rates of return (IRR), equity multiples, debt coverage ratios (DSCR), waterfall calculations, and memos are generated strictly for computational and analytical modeling purposes.
1. Acceptance of Terms & Scope of Service
By accessing or utilizing the MathTree web applications, underwriting engines, executive pitch deck generator, or API endpoints (collectively, the "Platform"), you agree to be bound by this Master Platform Agreement ("Terms"). If you are entering into these Terms on behalf of an enterprise, fund, syndicate, partnership, or limited liability company, you represent and warrant that you hold express corporate authority to legally bind such entity. If you do not possess such authority or do not agree with any part of these Terms, you may not access or use the Platform.
2. Regulatory & Non-Advisory Status
MathTree delivers algorithmic mathematical calculators, sensitivity matrices, and automated presentation formatting. Nothing contained on the Platform constitutes:
- An offer, solicitation, or recommendation to purchase or liquidate any real property, security, partnership interest, or syndicated debt instrument.
- Fiduciary, tax, legal, or licensed commercial appraisal advice.
- A warranty, guarantee, or representation of actual investment yields, future cash distributions, or asset disposition valuations.
You acknowledge that real estate investments carry substantial risks of capital loss, illiquidity, interest rate fluctuation, and operational vacancy.
3. User Responsibility for Underwriting Assumptions
You maintain sole, exclusive responsibility for validating and auditing all data inputs. This includes, without limitation:
- Day-One assessed values, acquisition basis, closing fees, and capital expenditure budgets.
- In-place lease agreements, NNN expense reimbursements, tenant credit ratings, and rollover downtime.
- Debt financing parameters, senior loan-to-value (LTV), interest rate caps, and debt service reserve covenants.
- Exit capitalization rates, reversion fees, sponsor promote hurdle structures, and waterfall hurdle distribution tiers.
MathTree disclaims all liability for commercial underwriting variance, investment decisions, financing declinations, or disputes between General Partners (GP) and Limited Partners (LP) arising from data generated by the Platform.
4. Intellectual Property & User Content Licenses
The Platform, including all underlying source code, mathematical algorithms, stochastic calculation engines, user interfaces, component designs, and trademarks, is the exclusive proprietary property of MathTree Inc.
Subject to active account status, MathTree grants you a non-exclusive, non-transferable, revocable license to generate, download, and export executive pro-forma summaries, investment memos, and pitch decks to prospective lenders and co-investors.
User Content License for Free (Community) Tier: In consideration of free access to MathTree's institutional underwriting engine, Free Tier users grant MathTree Inc. a perpetual, worldwide, non-exclusive, royalty-free license to aggregate, synthesize, analyze, and commercialize submitted property parameters, geographic addresses, valuation models, and transaction metrics to power MathTree Property Heat Maps, buyer demand signals, and commercial real estate market indices.
Confidential Exemption for Paid Subscribers: Subscribers with an active paid tier (Pro, Fund, or Enterprise) are strictly exempt from commercial data aggregation. All underwriting pipelines, rent rolls, and models created by paid accounts are confidential and are never published, shared, or included in MathTree Heat Maps.
5. Data Governance & Security Architecture
MathTree is hosted on secure enterprise cloud infrastructure utilizing industry-standard encryption in transit (TLS) and storage-level encryption at rest. Customer data is isolated between accounts using database row-level security controls to support real-time underwriting calculations and platform operations. For complete details regarding our tiered data model, market heat map aggregation, and security practices, please review our Privacy Policy.
6. Subscription Terms, Invoicing & Cancellation
Access to certain premium features, multi-company entity tracking, confidential pipeline exemption (heat map exclusion), and unlimited PDF exports requires an active subscription tier. All subscription fees are billed in advance on a recurring monthly or annual basis through authorized payment processors (including Stripe). You may cancel your subscription at any time via your Account Profile settings. Upon cancellation, your access will continue through the conclusion of the paid billing cycle.
7. Disclaimer of Warranties
THE PLATFORM IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, OR UNINTERRUPTED AVAILABILITY. MATHTREE DOES NOT WARRANT THAT CALCULATION ENGINES WILL BE ERROR-FREE OR THAT CLOUD HOSTING WILL BE FREE OF OUTAGES OR TRANSMISSION DELAYS.
8. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL MATHTREE INC., ITS DIRECTORS, EMPLOYEES, AFFILIATES, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES, INCLUDING DAMAGES FOR LOST ACQUISITIONS, CAPITAL LOSSES, GOODWILL, OR DATA CORRUPTION, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. MATHTREE'S AGGREGATE LIABILITY ARISING FROM THESE TERMS SHALL NOT EXCEED THE TOTAL FEES PAID BY YOU TO MATHTREE IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
9. Governing Law & Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without giving effect to any principles of conflicts of law. Any legal proceeding arising out of or relating to these Terms shall be instituted exclusively in the state or federal courts situated in Delaware, and each party irrevocably submits to the personal jurisdiction thereof.
